2011年、リクルートはグローバルIT企業への転身を決断、求人情報専門検索大手の米IndeedのM&Aを、1,000億円を超える買収額で成功させた。「グローバル化・デジタル化のターニングポイントはインディード買収にあった」と振り返る、リクルートホールディングス 取締役 兼 専務執行役員 兼 CHROの池内省五氏が、同社が再び成長軌道に乗るまでの道のりを語った。
＜目次＞デジタル化やグローバル化が進む中で、企業は生き残りをかけ、自社の競争力を高めるべくデジタル・トランスフォーメーション（DX）に取り組んでいく必要がある。 池内氏は「私たちにも10年後の生き残りをかけた2つの転機があった」と振り返る。 リクルートのメインビジネスは、マッチング・プラットフォームの提供だ。たとえば、リクルーティング分野では、クライアント企業とエンドユーザーである求職者を媒体を通じてマッチングさせる。同社の媒体は紙の情報誌からスタートしたが、今やインターネットへと主軸を移しており、外から見ると同社は早々とデジタルシフトを果たした先進企業に映る。 しかし、その内情は「きわめてアナログな会社だった」と池内氏は話す。競争力の源泉はクライアント企業に対する営業活動を担う約10,000名の営業部隊で、いわば「人力」に依存したビジネスモデルだったといえる。また、2011年当時、売上高の97％が国内ビジネスで占められており、ドメスティックな会社でもあった。 そうした中、同社の経営陣は衝撃的な2つのニュースに遭遇する。1つはマッキンゼー・アンド・カンパニーの調査結果だった。米国フォーチュン500を対象に、1999年から2006年までの間にそれら企業の時価総額がどれだけ伸びたか、伸びた原因は何だったかを追跡したもので、同期間のフォーチュン500の売上高は、年平均で10.1％の伸びを示していた。 これらの売上の2/3は、“伸びている市場でビジネスを展開している”ことに起因するもので、残りの1/3は“M&Aによって売上を底上げした”ものだった。当時、池内氏は役員として国内の競合対策立案に多くの時間を割いていたが、そうした活動が経営に寄与する割合はわずか4％にすぎなかったという。 2つめのニュースは、2011年に掲載されたニューヨークタイムズの記事で、検索エンジンとブッキングサイトの関係性を未来予測したものだった。今日、ブッキングサイトは膨大なコストをかけて検索エンジンから数千万人単位の顧客を得ているが、将来的には検索エンジンの情報網羅性がさらに高まり、ユーザーはそこで予約するようになる。 そのため、ブッキングサイトのようなプラットフォーム事業者は厳しい状況に追い込まれていく、とその記事にはあった。 マッチング・プラットフォームビジネスを展開する会社として、「このままでは会社の未来はない」と危機感を募らせた経営陣は、2011年、米国やアジアなどの成長市場へ進出するとともに、ビッグデータやAIを駆使するデジタルカンパニーへと転身することを決意したのである。「2020年、リクルーティング分野でグローバルNo.1のポジションを取る」ことを目標にした同社は、今までほとんど経験のなかったM&A事業に乗り出す。 最初は失敗続きだったが多くの学びも得た。その中で最も大きな教訓は「対象企業買収の目的を真に理解していること」にあると池内氏は語る。「M&Aは、最も買収したい企業が獲得できるとは限りません。交渉が長引く間に、『当初の対象企業でなくても、案件をまとめなければ』と焦燥感にかられますが、そのまま走ると当初の買収の目的を見失い、失敗します」（池内氏） また、「計画者＝事業推進者であること」も大きな学びだった。池内氏は、最初から事業推進者を巻き込んでいくことが重要だと述べる。「役員が買収案件をまとめて現場のトップに引き継ぐやり方だと、当初の計画からどんどん軌道がずれていきます。現場には『私が立てた計画ではない』との気持ちがあるからです。計画者＝事業推進者であれば、すべての責任を自分が負うため計画立案段階から真剣さが違ってきます」（池内氏） こうした教訓を得て、まず5～10億円という比較的小規模な買収金額でM&Aプロジェクトを実証実験的に進め、小規模案件で相乗効果が確認できたら、さらなる投資フェーズへ進むというルールを確立していった。 そして、同社の再成長のターニングポイントとなる大型M&Aをついに成功させる。求人情報専門の検索エンジンdevelopment企業 米インディードの獲得である。 この買収がドライバーとなり、現在、リクルートグループは2018年の売上高が連結で2兆3,000億円、従業員48,000人、65カ国でビジネスを展開するグローバル企業となったのだ。【次ページ】買収したインディードから学んだ“DX推進の術”Recommended article
